Many entrepreneurs have not yet formed their corporate entity. Thus they have no idea if the PPM they will use will require a stock offering (corporation) or a membership unit offering (LLC or LP). Also some entrepreneurs simply want to see different examples of different PPMs. While you will note that both of these PPMs contatin similar formats, the contect of each is vastly different.
The stock offering PPM was used by a startup company raising money to launch a new web based software product. The membership unit PPM was used by a LP to raise funds to roll out a new franchising model for a proprietary technology they had developed in the real estate / banking industry. Both offer great examples of successful PPMs.

introduction to the general terms that the investment banker is considering.
-
Investment Bank Term
Sheet. Commentary on the term sheet, the terms, and how to get an i-bank to consider taking you on as a client
-
Due Diligence Checklist that the i-banker will give to the management team during the preparation of the PPM.

Private Placement Memorandum (company
name omitted) that raised $15 million from individuals and institutions
