Many entrepreneurs have not yet formed their corporate entity. Thus they have no idea if the PPM they will use will require a stock offering (corporation) or a membership unit offering (LLC or LP). Also some entrepreneurs simply want to see different examples of different PPMs. While you will note that both of these PPMs contatin similar formats, the contect of each is vastly different.

The stock offering PPM was used by a startup company raising money to launch a new web based software product. The membership unit PPM was used by a LP to raise funds to roll out a new franchising model for a proprietary technology they had developed in the real estate / banking industry. Both offer great examples of successful PPMs.

Sample PPM using membership units as the investment vehicle includes :

  • Engagement Letter. Typically sent by the investment bank to the entrepreneur.  It contains much of the same stuff as in the term sheet, basically even a higher-level overview of the proposed terms.  Many times before a term sheet is kicked out by the investment bank, an engagement letter will be sent as a show of commitment and as initial introduction to the general terms that the investment banker is considering.

  • Due Diligence Checklist that the i-banker will give to the management team during the preparation of the PPM.
